There has been a large change in the corporate governance regulatory framework in Japan in the last 10 years. The most noticeable shift has been in the composition of Japanese boards, which have both greatly decreased in size and increased in independence. However, Japanese companies are still subject to considerable criticism from investing institutions, particularly from outside of Japan, for poor governance practices.
What has actually changed in the way Japanese companies make key decisions in resource allocation to strengthen their long-term competitiveness? Has there been any substantive change in the way senior succession takes place, or how senior executives are remunerated? What are the prospects for Japanese boards becoming more diverse, reflective not just of the broader Japanese population, but responding the need to globalise Japan and Japanese companies?
Based on his experience as a board member of 6 listed Japanese companies and 13 years of board experience in Japan, Dr Olcott will give his views on the current state of Japanese governance and the outlook for the future.
